General Terms and Conditions
Last updated: March 10, 2026
Art. 1 – Scope
These General Terms and Conditions of Sale (GTCS) apply to all services provided by ACE-Multipass (the “Provider”) to any client (the “Client”), whether a natural person or a legal entity. These services are continuing professional training courses and consulting services in cybersecurity, GDPR and related fields. Training courses are covered whether or not they are eligible for funding through the CPF (French personal training account), an OPCO (French skills operator) or any other body. Placing an order implies unreserved acceptance of these GTCS.
Art. 2 – Services
2.1 Training
Training courses may be delivered on-site or remotely. Their format and duration are set out in the quotation or the training programme. Their purpose is for the Client or the participants to acquire skills, and they include a final assessment to measure what has been learned. Training courses are delivered in accordance with the National Quality Framework (Référentiel National Qualité) under Qualiopi certification. Training materials are provided to the Client solely for internal training purposes. They may not be reproduced, distributed or used in any other way without the Provider’s prior written consent.
2.2 Consulting
Consulting services are provided either for a fixed fee or at a daily rate, as set out in the quotation. They result in deliverables, which may include reports, recommendations or summary documents. These services are subject to a confidentiality obligation defined in a non-disclosure agreement (NDA) signed by the parties. Documents produced remain the exclusive property of the Provider and may not be distributed without written authorisation. This confidentiality obligation remains in force for five years after the end of the engagement. Additional expenses, in particular travel and accommodation costs, are included only when the quotation explicitly states so.
Art. 3 – Deposit
A deposit of 50% of the price of the service is required when the order is placed. The service is confirmed only once this deposit has been received. The deposit must be paid by bank transfer. An invoice for the deposit is issued when the order is placed. If the deposit is not paid, the service is deemed cancelled.
Art. 4 – Cancellation and postponement
The Client must notify any cancellation of a service by email. The following charges apply:
- More than fifteen days before the scheduled date: no charge.
- Less than fifteen days before the service: 50% of the total price remains payable.
- Less than forty-eight hours before the service: the full price is payable.
The cancellation period runs from the date the Provider receives the cancellation email. A service may be postponed only subject to availability and with the Provider’s written consent. The postponed service must take place within three months at most.
Art. 5 – Payment and late payment
Invoices are payable within thirty days net of their issue date. In the event of late payment, penalties apply at three times the statutory interest rate in force on the invoice date. A fixed recovery fee of €40 is added to these penalties. The Provider also reserves the right to suspend any service from the first day of late payment.
Funding of a training course by a third party (CPF, OPCO, employer or any other funding body) does not release the Client from its payment obligation. If funding is refused or covers only part of the price, the Client remains liable for the total amount or the outstanding balance.
Art. 6 – Intellectual property
All training materials provided as part of the services remain the exclusive property of the Provider. Deliverables from consulting engagements are confidential. They may not be used, reproduced, distributed or resold without the Provider’s prior written consent. The Client remains responsible for using the documents provided internally and in compliance with applicable law.
Art. 7 – Liability
The Provider’s liability is strictly limited to the amount paid by the Client for the service concerned. The Provider cannot be held liable for decisions made or actions taken by the Client following the training courses or the recommendations given in consulting engagements. In the event of force majeure, the performance of the service may be suspended and the Provider’s liability is not engaged. Force majeure includes strikes, technical failures, natural disasters and legal restrictions beyond the Provider’s control.
The Provider cannot be held liable for indirect damage suffered by the Client arising from the use of the services or recommendations provided. Such damage includes, among others, operating losses, loss of revenue, loss of data and any other financial loss.
The Client undertakes to provide the Provider with all the information, documents and access needed to perform the services properly. The Provider cannot be held liable for consequences arising from information that is incomplete, inaccurate or provided late by the Client.
Art. 8 – Personal data
The Provider collects information from the Client, such as name, email address and the data needed for invoicing. This information is used solely for the administrative and commercial management of the services. Under the General Data Protection Regulation (GDPR), the Client has the right to access, rectify and erase their personal data and to restrict its processing. The Client also has the right to object and the right to data portability. For more information, the Client is invited to consult the website’s legal notice. Data is kept for as long as needed for commercial management and to meet tax and accounting obligations.
Art. 9 – Disputes
Any dispute relating to the services will first be submitted to mediation or conciliation between the parties. If no amicable agreement is reached within thirty days, the dispute will be brought before the Marseille Judicial Court (Tribunal judiciaire de Marseille), which has sole jurisdiction. These GTCS are governed by French law.
Art. 10 – Amendments to the GTCS
The Provider reserves the right to amend these General Terms and Conditions of Sale at any time. The GTCS that apply to an order are those in force on the date the Client places it.
